How we help

Every stage of the sale, on one file

When to instruct a solicitor

Before you go to market. We help gather accounts, associate agreements, the lease or title, inspection reports and regulatory paperwork so the sale runs cleanly.

Sale routes

Private sale to an associate versus specialist sales agent. We advise on the pros, cons and typical timelines of each.

Asset sale vs share sale

What each means for you as seller — tax treatment, warranties given, and which assets, liabilities and contracts actually transfer.

The process

Heads of terms → due diligence → APA or SPA negotiation → NHS and regulatory steps → completion. We drive the timetable.

Warranties

What you as seller are actually agreeing to — how to limit exposure with knowledge, caps and time limits.

Restrictive covenants

Non-compete and non-solicitation clauses on you as outgoing principal — negotiated to be enforceable but fair.

FAQs

Common questions from selling principals

How long does a dental practice sale take?

Most sales complete 4–8 months from heads of terms, depending on NHS list transfer, lease consents and lender timelines. We frontload the paperwork to shorten it where possible.

What is due diligence like as a seller?

The buyer's solicitor will request a substantial pack — accounts, HR files, associate contracts, patient data protection, lease, inspection reports, regulatory correspondence. We manage disclosure so nothing is over- or under-shared.

Do I have to stay on after completion?

Often yes, for a handover period agreed in the APA — typically a few weeks to several months. Terms, hours and pay are negotiable.

What happens to my staff?

Employees usually transfer to the buyer under TUPE. There are consultation obligations on both sides; we handle the legal steps and coordinate with the buyer's solicitor.
